Intellectual Property & Licensing

All GuideToLearn® and IntelliGuide™ content, technology, and materials, including videos, training materials, courseware, methodologies, documentation, software, platform features, source and object code, workflows, prompts, databases, graphics, designs, and other proprietary materials, are owned by or licensed to Guide To Learn, Inc. and protected by applicable copyright, trademark, trade secret, contract, and other intellectual property laws.

Guide To Learn, Inc. retains all right, title, and interest in its intellectual property. All rights not expressly granted in writing are reserved. No ownership or intellectual property rights are transferred by any purchase, subscription, license, or access.

Third-party trademarks and intellectual property remain the property of their respective owners.

Access to GuideToLearn® or IntelliGuide™ is conditioned upon acceptance of and compliance with the applicable Terms of Use, license, subscription, order, and other governing terms.

Subject to payment and continuing compliance with those terms, authorized users receive only a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the applicable products, services, and content for authorized internal business or individual learning purposes during the applicable license period.

Any restriction concerning authorized users, environments, tenants, organizations, locations, projects, devices, or other license limits applies as specified in the applicable plan, order, or agreement. Credentials, licenses, access, and licensed materials may not be shared with unauthorized persons.

Except as expressly authorized in writing by Guide To Learn, Inc. or permitted notwithstanding these restrictions by applicable law, users may not:

• copy, photograph, record, screen-capture, reproduce, download, extract, distribute, publish, share, sublicense, resell, transfer, modify, or create derivative works from protected materials;
• reverse engineer, decompile, disassemble, derive, discover, or attempt to reproduce proprietary source code, architecture, algorithms, prompts, workflows, methodologies, configurations, or technology;
• circumvent or interfere with authentication, licensing, security, watermarking, technological protection measures, monitoring, or access controls;
• scrape, crawl, mine, automatically capture, index, collect, or extract protected content or data;
• use protected materials, outputs, methodologies, prompts, data, or other proprietary information to train, fine-tune, ground, benchmark, develop, improve, or support any artificial-intelligence, machine-learning, large-language-model, knowledge, training, search, or competing system;
• upload or disclose protected materials to third-party AI or data-processing systems without authorization;
• use GuideToLearn® or IntelliGuide™ materials to develop, improve, market, or provide a competing product, service, platform, training program, methodology, or commercial offering; or
• remove or alter copyright, trademark, confidentiality, attribution, watermark, or proprietary-rights notices.

Nonpublic GuideToLearn® and IntelliGuide™ information, including source code, architecture, algorithms, prompts, workflows, methodologies, security controls, configurations, product plans, technical documentation, business processes, and unpublished materials, is confidential and proprietary and may constitute trade secrets.

Authorized recipients shall protect such information from unauthorized access, use, copying, disclosure, or exploitation and use it solely for authorized purposes. Limited authorized disclosure does not constitute waiver, abandonment, or dedication to the public.

To protect its systems, customers, licenses, and intellectual property, Guide To Learn, Inc. may, to the extent permitted by applicable law and its Privacy Policy, use authentication, access and usage records, session or device information, digital watermarks, rate limits, and other reasonable security and license-compliance controls.

Unauthorized access, copying, recording, credential sharing, extraction, disclosure, circumvention, infringement, competitive exploitation, or other material violations may result in restriction, suspension, or termination of access.

Guide To Learn, Inc. reserves all rights and remedies available under applicable law and contract, including damages and injunctive relief where available, and may preserve evidence or report suspected unlawful activity to appropriate authorities.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDETOLEARN®, INTELLIGUIDE™, AND RELATED CONTENT, SOFTWARE, TRAINING, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

Guide To Learn, Inc. does not guarantee that content, recommendations, software, or services shall be uninterrupted, error-free, complete, current, or suitable for every customer's particular requirements. Customers remain responsible for evaluating, testing, validating, and approving decisions, configurations, implementations, security, compliance, data, and business processes applicable to their environments.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDE TO LEARN, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO GUIDETOLEARN®, INTELLIGUIDE™, OR RELATED PRODUCTS OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUIDE TO LEARN, INC.’S AGGREGATE LIABILITY ARISING FROM THE PRODUCT, SERVICE, SUBSCRIPTION, OR LICENSE GIVING RISE TO A CLAIM SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO GUIDE TO LEARN, INC. FOR THAT PRODUCT, SERVICE, SUBSCRIPTION, OR LICENSE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing herein excludes or limits liability that applicable law does not permit to be excluded or limited.

Except where otherwise agreed in writing or required by applicable law, purchases of digital products, subscriptions, licenses, training content, downloadable materials, and digital services are final and non-refundable once access, delivery, download, performance, or use has begun.

Applicable recurring subscriptions remain subject to disclosed renewal, billing, cancellation, and legally required consumer protections. Nothing herein waives any right or remedy that applicable law does not permit to be waived.

Ownership, intellectual-property restrictions, confidentiality, trade-secret obligations, prohibited-use provisions, payment obligations, disclaimers, limitations of liability, and enforcement rights survive expiration or termination to the extent applicable.

If this notice conflicts with a separately executed written agreement with Guide To Learn, Inc., that agreement controls to the extent of the conflict.

GuideToLearn® and IntelliGuide™ may be used only as expressly authorized by Guide To Learn, Inc. or under applicable license terms.
